Terms of Service

These Terms & Conditions ("Terms") govern your access to and use of the LocalyZit website and software-as-a-service platform (the "Service"), operated by Tech Vanta LLC ("LocalyZit", "we", "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

• You must be at least 18 years old and capable of forming a binding contract.
• You agree to provide accurate registration information and keep it up to date.
• You are responsible for safeguarding your account credentials and for all activity under your account.
• Notify us immediately of any unauthorized use of your account.

2. The Service

LocalyZit provides tools for auditing, optimizing, and managing local search presence, including Google Business Profile management, review management, content generation, rank tracking, and reporting. Features vary by subscription plan.

3. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Attempt to gain unauthorized access to the Service or other users' data.
• Reverse engineer, copy, or resell the Service without authorization.
• Upload content that infringes others' rights or violates any law.
• Interfere with or disrupt the integrity or performance of the Service.

4. Customer Content

You retain ownership of the business data and content you submit ("Customer Content"). You grant LocalyZit a limited, non-exclusive license to use, process, and display Customer Content solely to provide and improve the Service. You represent that you have the rights necessary to submit your Customer Content.

5. Subscriptions, Billing & Renewal

• Paid plans are billed in advance on a monthly or annual basis through our payment processor (Stripe).
• Subscriptions automatically renew at the end of each billing cycle unless cancelled beforehand.
• You may cancel at any time; access continues until the end of the paid period.
• Fees are non-refundable except where required by law or expressly stated.
• We may change pricing with at least 30 days' notice; changes apply to the next billing cycle.

6. Complimentary & Managed Plans

We may offer complimentary access or managed-service arrangements at our discretion. Specific terms, scope, and duration of such arrangements will be communicated separately and may be modified or withdrawn with reasonable notice.

7. AI-Generated Content

The Service uses third-party AI to generate suggested content, descriptions, and recommendations. AI output may contain inaccuracies. You are responsible for reviewing and approving all AI-generated content before publishing it. LocalyZit is not liable for content you choose to publish.

8. Third-Party Services

The Service integrates with third-party platforms, including Google, Stripe, Twilio, and AI providers. Your use of those platforms is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Intellectual Property

The Service, including its software, design, logos, and content (excluding Customer Content), is owned by Tech Vanta LLC and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR PRODUCE ANY SPECIFIC RANKING OR BUSINESS RESULTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCALYZIT AND TECH VANTA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless LocalyZit and Tech Vanta LLC from any claims, damages, or expenses arising from your use of the Service, your Customer Content, or your violation of these Terms.

13. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or for any lawful reason with reasonable notice. Upon termination, your right to use the Service ceases, and we may delete your data after a reasonable period.

14. Governing Law
